Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, platform, and services provided by GitShield Advisory Group ("GitShield," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you may not access or use our services.
1. Services Overview
GitShield provides open-source intelligence (OSINT) security assessment services. Our services include, but are not limited to, public domain credential monitoring, shadow IT discovery, forensic exposure analysis, and ongoing threat intelligence delivery. All data gathered by GitShield is sourced exclusively from publicly accessible information on the internet.
2. Eligibility
Our services are intended for use by businesses, organizations, and individuals who are at least 18 years of age. By using our services, you represent and warrant that you have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.
3. Client Engagements
3.1 Engagement Terms
Formal client engagements are governed by a separate Statement of Work (SOW) and Non-Disclosure Agreement (NDA) executed between GitShield and the client organization. In the event of a conflict between these Terms and a signed SOW or NDA, the signed agreement shall prevail.
3.2 Preliminary Assessments
GitShield may provide preliminary security assessments to prospective clients as part of our outreach process. These preliminary assessments contain partial, redacted findings intended to demonstrate the scope of identified exposures. Full intelligence, including complete source locations and credential strings, is delivered only upon execution of a formal engagement agreement.
3.3 Pricing and Payment
Service pricing is outlined in the applicable SOW. Payment terms, refund policies, and billing cycles are specified in each individual engagement agreement. GitShield reserves the right to modify pricing for future engagements at any time.
4. Acceptable Use
You agree not to:
- Use our services for any unlawful purpose or in violation of any applicable law or regulation
- Attempt to gain unauthorized access to our systems, networks, or other users' accounts
- Reverse-engineer, decompile, or disassemble any aspect of our platform or services
- Redistribute, sublicense, or resell our intelligence reports or assessment findings without prior written consent
- Use assessment findings to harass, threaten, or extort any individual or organization
- Misrepresent your identity or organizational affiliation when engaging with our services
5. Intellectual Property
5.1 GitShield Property
All content, technology, methodologies, trademarks, and materials on our website and within our platform are the property of GitShield or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our materials without prior written consent.
5.2 Client Data
Any data or materials you provide to GitShield in connection with an engagement remain your property. You grant GitShield a limited, non-exclusive license to use such data solely for the purpose of providing the contracted services.
6. Confidentiality
GitShield treats all client engagement details, findings, and communications as confidential. We will not disclose client-specific information to third parties except as required by law, authorized in writing by the client, or as necessary to provide our services. Additional confidentiality obligations may be established in the applicable NDA.
7. Disclaimers
7.1 No Guarantee of Security
While GitShield strives to provide comprehensive and accurate intelligence, we do not guarantee that our services will identify all exposures, vulnerabilities, or threats. Security is a dynamic and evolving discipline, and no service can provide absolute protection.
7.2 Public Domain Limitation
GitShield's intelligence is derived exclusively from publicly accessible sources. We do not access private systems, perform penetration testing, or engage in any activity that requires authorized access to client infrastructure. Our findings represent a snapshot of publicly available information at the time of assessment.
7.3 As-Is Basis
Our services are provided on an "as-is" and "as-available" basis. GitShield expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability
To the maximum extent permitted by applicable law, GitShield and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our services, regardless of the theory of liability.
GitShield's total liability for any claim arising under these Terms shall not exceed the amount paid by you to GitShield during the twelve (12) months preceding the event giving rise to the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless GitShield and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms, your misuse of our services, or your violation of any applicable law or regulation.
10. Termination
GitShield may suspend or terminate your access to our services at any time, with or without cause, upon notice. Upon termination, your right to use our services ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Wilmington, Delaware.
12. Modifications
GitShield reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a revised effective date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
14. Entire Agreement
These Terms, together with any applicable SOW, NDA, and our Privacy Policy, constitute the entire agreement between you and GitShield regarding the use of our services and supersede all prior agreements and understandings.
